    Overview & Responsibilities

    PRIMARY RESPONSIBILITY: Responsible for performing contract negotiations, administration, and project management activities for a wide variety of contracts and sales and support-related activities.


    KNOWLEDGE/SKILLS/ABILITY: Excellent knowledge of the contracting process, sales, and the services and activities of contract negotiations. Knowledge of complex principles and practices of negotiations and contract compliance. Strong ability to interpret and explain commercial terms and procedures and communicate information and ideas in a clear and concise manner, both orally and in writing. Ability to establish agreement among business owners. Ability to negotiate and/or draft complex legal agreements and prepare clear and concise reports. Strong proficiency in technology, including the internet, Email, Adobe, and Microsoft Office applications, especially in Word, Excel, and PowerPoint. Ability to work well under pressure, as a team member, and with minimal supervision in a fast-paced work environment. Excellent planning and organizational skills and attention to detail. Ability to successfully work and promote inclusiveness in small groups. Ability to handle multiple complex projects simultaneously, prioritizing work to meet competing deadlines. Ability to provide FANATICAL support.


    JOB COMPLEXITY: Develops pre-negotiation strategy and position. Conducts negotiations with select prospects, prepares contract documents, obtains required approvals, and distributes contracts. Conducts debriefings with sales teams and legal counsel describing the strengths, weaknesses, and risks of the proposed terms. Monitors contracts for potential problems and recommends innovative methods to deal with the issues that are beneficial to both the prospect and Rackspace. Conducts pre-proposal conferences and assists sales teams with answering questions and clarifying requirements for potential customers. Takes a lead role in complex contract negotiations as needed and in accordance with legal counsel. Notifies sales, legal, and other supporting functions of potential contractual problems and brings closure to the negotiation. Negotiates, drafts, manages, and, if necessary, seeks approval for, a wide variety of agreements, including complex sales and support-related agreements, channel partner agreements, and NDAs. Drafts non-standard agreements for attorney review and approval. Interacts with various internal groups and personnel to facilitate win-win situations. Assists legal counsel by providing input on agreement-related terms / negotiations, and minimizes delays in agreement processing / negotiation.  Takes a lead role with other contracting activities related to sales and support, as required.


    SUPERVISION: Works largely independently with latitude for independent judgment and with minimal supervision from legal counsel. May provide assistance to lower level team members.


    EXPERIENCE/EDUCATION: High school diploma or equivalent required. JD, Paralegal certification, or Bachelor's of Business Administration. 1-3 years of contract and negotiations experience w/ JD. 5-7 years of contract and negotiations experience w/ Paralegal certification or BBA.


    PHYSICAL DEMANDS: General office environment.  May require long periods sitting and viewing a computer monitor.  Moderate levels of stress may occur at times.  No special physical demands required.
